Corporate Responsibility

Polimeri Europa commits itself in leading its activities in compliance with the values indicated in Eni's Code of Ethics. The following documents define the values, which Polimeri Europa recognizes as its own.


Code of Ethics

Polimeri Europa adopted Eni's Code of Practice with Board resolution of July 27, 2001 and it took into account the following integrations with Board resolution of June 22, 2004 (Addendum) with the aim of reaffirming principle statements about Business Ethics and Responsibility in accordance with the Reference framework of the united Nations Universal Declaration of Human Rights, the Fundamental Conventions of the ILO - International Labour Organization - and the OECD Guidelines on Multinational Enterprises.

In consequence of the new Eni's Code of Ethics the Polimeri Europa Board of Directors has adopted, with resolution of July 2, 2008 the Code of Ethics. Polimeri Europa watch structure performs the functions of guarantor of the Code of Ethics ("Guarantor").
The new Code is in line with the development of the legal framework, the organisational structure of Eni and its companies, and the international best practices.

The main innovations introduced in the Code were:
  • recognition of sustainable development as one of the company's strategic objectives, due to its key role in creating value;
  • reinforcing the role of stakeholders;
  • entrusting the responsibility of Guarantor of the Code to the Watch Structure, in order to increase synergy when carrying out the various control operations;
  • setting up a Code of Ethics Promotion Team to support the Guarantor in promoting awareness of the Code and in arranging meetings between internal and external stakeholders to discuss its values.

  • Model 231

    Polimeri Europa S.p.A. Board of Directors approved on September 4, 2008 the new organizational, management and control Model pursuant to Legislative Decree no. 231 of 2001 ("Model 231") in substitution of the previous Model adopted with the resolutions of June 22, 2004, March 27, 2006 and December 19, 2007.

    In consequence of the first Model adoption, Polimeri Europa appointed a Watch Structure with independent initiative and control powers linked with the current application scope of Model 231. It contemplates: (i) crimes against the Public Administration and against public faith, (ii) corporate crimes, (iii) crimes connected with the subversion of the democratic order and to the financing of terrorism, (iv) crimes against individuals, (v) market abuse ("Abuse of privileged information" and "Market manipulation"), (vi) crimes against individuals pursuant to law no. 7 of 2006, (vii) transnational crimes, (viii) manslaughter and non-intentional serious and very serious injuries arising out of the breach of accident prevention laws and regulations as well as laws and regulations on health protection at work, (ix) handling stolen goods, money laundering and use of stolen money, goods or any other benefits, (x) computer information crimes and crimes related to violation of data processing.

    Reports (including anonymous ones) received by Eni and its Subsidiaries, directly and indirectly controlled - Polimeri Europa Procedure n. 44

    The procedure, issued on July 4, 2007, aims at establishing flows of information enabling the reception, analysis and processing of reports disclosing irregularities concerning the internal control system (hereinafter "ICS"), corporate reporting, company administrative liability, frauds, or other issues (violation of the Code of Practice, mobbing practices, thefts, security issues, etc.), submitted by employees (including top managers), members of company Boards or third parties, including reports received confidentially or anonymously.
